1. Introduction

Welcome to the GAL Influencer and Affiliate Program ("Program"). By enrolling in this Program through the Collabs platform on Shopify, you ("Influencer/Affiliate" or "Participant") agree to be bound by these Terms and Conditions ("Agreement"). If you do not agree to these terms, please do not participate in the Program.

2. Eligibility

  • Participants must be at least 18 years of age.

  • Enrollment is open to individuals and entities that have an active presence on social media, a website, or other digital channels.

  • GAL reserves the right to verify eligibility and reject or terminate participation at its sole discretion.

3. Enrollment and Acceptance

  • To enroll in the Program, you must complete the application process on Collabs by Shopify and provide accurate and current information.

  • GAL will review your application and notify you of acceptance.

  • Enrollment in the Program is at GAL’s sole discretion and does not create any obligation on GAL’s part to continue the relationship beyond the terms of this Agreement.

4. Program Description

  • The Program allows you to promote GAL products and services.

  • You will earn commissions based on qualifying sales generated through your unique affiliate links or codes as tracked by the Collabs platform.

  • Commission rates, bonus structures, and performance incentives will be provided separately and may be modified by GAL from time to time.

5. Promotion Guidelines and Obligations

  • You agree to comply with all applicable laws and regulations, including but not limited to advertising, disclosure, and consumer protection laws (e.g., FTC guidelines).

  • All promotional materials, including social media posts, blog content, and advertisements, must be truthful, not misleading, and in compliance with GAL’s brand guidelines.

  • You may only use marketing materials and assets provided or approved by GAL. Any modifications to GAL’s intellectual property (e.g., logos, trademarks) without express written permission are prohibited.

6. Commission and Payment Terms

  • Commission Structure: You will earn commissions on sales that are directly attributed to your unique affiliate links or codes.

  • Payment Schedule: Commissions will be calculated monthly and paid out after the conclusion of each calendar month, subject to any applicable minimum thresholds as specified on the Collabs platform.

  • Adjustments: GAL reserves the right to adjust or withhold commissions if fraudulent or unauthorized activity is detected.

  • Taxes: You are responsible for any taxes associated with the commissions earned under this Agreement.

7. Intellectual Property

  • GAL grants you a limited, non-exclusive, non-transferable license to use its logos, trademarks, and approved marketing materials solely for the purpose of promoting GAL under this Program.

  • All rights not expressly granted in this Agreement are reserved by GAL.

  • Your use of GAL’s intellectual property must cease immediately upon termination of this Agreement.

8. Representations and Warranties

  • You represent and warrant that all information provided in your application and promotional content is accurate and up-to-date.

  • You agree to adhere to the guidelines and standards set forth by GAL and the Collabs platform at all times while participating in the Program.

9. Prohibited Conduct

  • You agree not to engage in any form of deceptive, fraudulent, or unethical promotional practices, including but not limited to spamming, using misleading claims, or incentivizing clicks or sales in ways that violate the guidelines of any advertising platform or law.

  • Any breach of these terms may result in immediate termination of your participation in the Program and forfeiture of any outstanding commissions.

10. Term and Termination

  • Term: This Agreement will commence on the Effective Date and will continue until terminated by either party.

  • Termination by GAL: GAL may terminate or suspend your participation in the Program at any time, with or without cause, if you breach any part of this Agreement or engage in conduct deemed harmful to GAL or its brand.

  • Termination by Participant: You may terminate your participation by providing written notice to GAL. However, termination will not affect commissions earned for sales prior to the termination date.

  • Upon termination, you must immediately cease using any GAL intellectual property and remove all promotional materials from your channels.

11. Disclaimers and Limitation of Liability

  • Disclaimer: The Program is provided on an “as is” basis without any express or implied warranties. GAL does not guarantee any specific level of earnings or success through participation in the Program.

  • Limitation of Liability: In no event shall GAL be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your participation in the Program.

12. Indemnification

You agree to indemnify, defend, and hold harmless GAL and its affiliates, officers, directors, and employees from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from or related to your participation in the Program or any breach of this Agreement.

13. Governing Law and Dispute Resolution

  • This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

  • Any disputes arising under or in connection with this Agreement shall be resolved in the courts located in [Your Jurisdiction].

14. Modifications and Amendments

  • GAL reserves the right to modify or amend these Terms and Conditions at any time.

  • Any modifications will be communicated to you and will become effective upon your continued participation in the Program.

  • Your continued participation following any such changes constitutes your acceptance of the revised terms.

15. Miscellaneous

  • Entire Agreement: This Agreement constitutes the entire agreement between you and GAL with respect to the Program and supersedes all prior agreements, understandings, or representations.

  • Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

  • Assignment: You may not assign or transfer your rights under this Agreement without the prior written consent of GAL.
